These Website Terms of Use (these “Terms”) govern your access to and use of the public websites operated by MedPathX, Inc. (“MedPathX”, “we”, “our”, or “us”), including medpathx.com (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. The Site is intended for individuals eighteen (18) years of age or older. The MedPathX platform for organ-transport logistics (the “Platform”) is a separate service available only to organizations under MedPathX’s Customer Terms of Service, Provider Terms of Service, and related agreements; those agreements, and not these Terms, govern access to and use of the Platform.

2. The Site; Changes

The Site provides general information about MedPathX and its services. We may modify, suspend, or discontinue any part of the Site at any time without notice.

3. Intellectual Property

The Site and its content, including text, graphics, logos, and software, are owned by MedPathX or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal business or personal informational purposes. No other rights are granted, and you may not use the MedPathX name or marks without our prior written consent.

4. Acceptable Use

You will not: (a) scrape, harvest, or systematically extract data from the Site or use robots or similar automated means to access it; (b) interfere with or disrupt the Site or attempt to probe, scan, or test its security; (c) misrepresent your identity or affiliation; (d) use the Site to transmit malicious code or unlawful, infringing, or harmful material; or (e) use the Site in violation of applicable law.

5. Contact Form; Communications

The Site’s contact form is intended for general business inquiries only. Do not submit patient information, protected health information, or other sensitive personal information through the Site; the Site is not intended for, and must not be used for, case coordination or the transmission of patient data. Information submitted through the Site is handled as described in our Privacy Policy, which is available on the Site.

The Site may link to third-party websites or resources. We do not endorse and are not responsible for third-party content, products, or services, and you access them at your own risk.

Site content is general information only and is not legal, medical, clinical, or aviation advice, and we do not warrant that the Site or its content is accurate, complete, or current.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDPATHX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, AND MEDPATHX’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnity

You will indemnify and hold harmless MedPathX and its officers, directors, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or violation of these Terms.

10. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and any dispute arising out of or relating to the Site or these Terms will be resolved exclusively in the state and federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time by posting the updated Terms with a new effective date. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.
